Consent and parties
The New York Convention applies to awards made in another state and arising out of differences between persons, whether physical or legal 1. State entities can appear in commercial cases. In its 2025 preliminary statistics, the ICC Court President thanked "states and state-owned enterprises" for their trust in ICC services 4.
ICSID's jurisdiction covers legal disputes arising directly out of an investment between a Contracting State and a national of another Contracting State that both consent in writing 3. Consent often comes in advance through a treaty 2.
Review of the award
A commercial award is reviewed by a court at the seat. Under Article 34 of the UNCITRAL Model Law, an application to set aside is the only recourse to a court and must be made within three months 5. In England, section 69 of the Arbitration Act 1996 allows an appeal on a question of law, and an agreement to dispense with reasons excludes it 6.
An ICSID award is binding and not subject to any appeal or other remedy except those in the Convention 3. Annulment is limited to five grounds, such as a manifest excess of powers or failure to state reasons 3.
Transparency
The UNCITRAL Rules on Transparency in Treaty-based Investor-State Arbitration came into effect on 1 April 2014. They provide for publication through a central repository on the UNCITRAL website 8. They apply by default to treaty-based arbitrations under the UNCITRAL Arbitration Rules where the treaty was concluded on or after that date 8.
Enforcement
Under Article III of the New York Convention, each Contracting State recognises arbitral awards as binding and enforces them under its own procedure 1. Under Article 54 of the ICSID Convention, each Contracting State enforces the money obligations of an ICSID award as if it were a final judgment of its own courts 3. In both systems, national law on state immunity from execution still applies to state assets 3.
Common questions
Can a state be a party to commercial arbitration?
Yes. ICC said states and state-owned enterprises use its services 4. The New York Convention covers awards between physical or legal persons 1.
Can an investor use a contract instead of a treaty?
Yes. Contracts were the basis of consent in 15% of all ICSID cases to 30 June 2026 2.
Which system allows an appeal on law?
English law allows a commercial appeal on a question of law if the parties have not excluded it 6. ICSID awards cannot be appealed 3.
